TERMS OF SALE
Clause n° 1 : Purpose
The terms and conditions described below detail the rights and obligations of Mrs. D. van Herk, registered in the Registry of the Court of Nice - France under the name Just Essential, limited liability company with capital of 7500 euros under the SIRET number 512 223 975 0001 6 - APE 7990Z, based in Nice, 6, avenue de la Pastorelle , 06200, hereinafter referred to as Just Essential sarl and his client hereinafter the buyer in connection with the sale of services detailed below.All services performed by Just Essential implies the endorsement of the purchaser to these general conditions of sale.
Clause n°2 : Non-exhaustive list of services provided by Just Essential
The company's purpose, both in France and abroad :

The exploitation and development of business of :

Tourist guidance, consecutive and liaison interpretation, written translation, hostess, and transport activity of maximum 8 people and minimum 2 people ;

Multilingual business support (organization, presentation and promotion) to international companies working in the import-export sector ;

And more generally the creation, purchase, operation of any funds of businesses similar to that operated by the company, without exception or qualification. The direct or indirect interest in all financial, industrial or commercial that can be linked to the operation of these funds to businesses with all their annexes unreservedly.
Clause n° 3 : The obligation of the buyer
The buyer is obliged to communicate to Just Essential sarl all the necessary information for the services requested.

Clause n° 5 : Prices
The prices of services sold are those in effect at the time of the order and announced in the quotation.
They are denominated in euros and calculated net of taxes. As a result, they will increase the rate of VAT and transportation charges applicable on the day of the order. Just Essential sarl has the right to modify its prices at any time.
However, Just Essential sarl agrees to bill the services ordered at the prices indicated in the order.
Clause n° 6 : Discount and rebate
No discount or rebate will be proposed.
Clause n° 7 : Escompte
No discount will be granted in cases of prepayment.
Clause n° 8 : Method of Payment
The payment of the invoice should be made by national or international transfer (IBAN / BIC) upon receipt of invoice. The bank details will be indicated on the invoice.
Clause n° 9 : Late payment
Terms of settlement (Law No. 2008-776 of 4 August 2008) and billing. After the due date above, a penalty of 3 times the legal rate will be applied. Payment is required upon receipt of the invoice. Payment periods: 45 days end of month. Just Essential sarl kindly requests the client to read the Terms of Use as well.
Clause n° 10 : Terms of Intra-Community
Specific EEC deliveries and intra-exempt: CGI art.262 b - I see § § 23 to 45.
Clause n° 11 : Retention of title
Just Essential sarl retains ownership services sold until full payment of the price, in principal and accessories. As such, if the buyer is subject to a re organization or a liquidation, the company Just Essential sarl reserves the right to claim under the procedure, the services sold and remained unpaid.
Clause n° 12 : Force majeure
Responsibility for Essential Just sarl can not be implemented if the non-performance or delay in performing any of its obligations described in these terms and conditions of sale, stem from a case of force majeure. As such, the force majeure event means any exterior, unforeseeable and irresistible in the sense of Article 1148 of the Civil Code.
Clause n° 13 : Mandate
The buyer expressly mandate Just Essential sarl to perform all administrative reporting, acquisition or purchase, without being exhaustive, on the realization of services ordered on his behalf.
Clause n° 14 : Jurisdiction – Competent Court
Any case concerning the interpretation and implementation of these Terms of Sales is subjected to the French law. If no amicable resolution is found, the case shall be brought before the Tribunal de Commerce in Nice - France.
